Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Replyly.io ("Company", "we", "our", or "us"), governing your access to and use of the Replyly.io platform, mobile application, web dashboard, and all related services (collectively, the "Service").

By creating an account, connecting your Instagram account, or otherwise accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

Replyly.io is an Instagram automation platform that enables users to automate direct message (DM) responses, comment replies, and audience engagement workflows on their Instagram business or creator accounts through the official Meta Graph API.

The Service includes, but is not limited to:

• Automated DM flows triggered by post comments or story mentions
• Multi-step message sequences with follow-up automation
• Keyword-based trigger management
• Credit-based billing and subscription management
• Analytics and activity logs for your automations
• Push notification alerts for account activity

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice to users.

To use the Service, you must meet all of the following requirements:

• Be at least 18 years of age (or the age of majority in your jurisdiction)
• Have a valid, active Instagram Business or Creator account in good standing
• Not be prohibited from using the Service under applicable laws
• Not have had a previous account terminated by us for violation of these Terms
• Agree to comply with all applicable Instagram / Meta Platform Policies

You must authenticate via Google Sign-In and connect your Instagram account via the official Meta OAuth flow to use the Service. By doing so, you:

• Authorize Replyly.io to access your Instagram account with the permissions granted during the OAuth flow
• Represent that you are the legitimate owner of the connected Instagram account
• Are responsible for all activity that occurs under your Replyly account
• Must maintain the security of your Google account credentials used to sign in
• Must notify us immediately at support@replyly.io if you suspect unauthorized access to your account

You may not share your account credentials with others, allow others to access your account, or create accounts on behalf of third parties without their explicit consent.

You agree to use the Service only for lawful purposes and in a manner consistent with these Terms and all applicable laws. The following uses are strictly prohibited:

Replyly.io operates through the official Meta Graph API and Instagram Messaging API. Your use of the Service is subject to and must comply with:

• Meta Developer Policies
• Instagram Community Guidelines
• Facebook Terms of Service

You acknowledge that Meta may independently suspend, restrict, or revoke your Instagram account's API access at any time for any reason, and that Replyly.io has no control over such actions and bears no liability for resulting service interruptions.

Replyly.io offers subscription plans and credit-based access to features. The following billing terms apply:

• Subscription Plans: Subscriptions are billed on a recurring basis (monthly or annually) as selected at the time of purchase. Your subscription renews automatically until cancelled.
• Pricing: Current pricing is available within the Replyly app. We reserve the right to change pricing with at least 14 days' notice to existing subscribers.
• Payment: You authorize us to charge your selected payment method for all fees when due. Failure to pay may result in suspension of your account.
• Refunds: Subscription fees are generally non-refundable. In exceptional circumstances, refund requests may be considered on a case-by-case basis — contact support@replyly.io within 7 days of the charge.
• Cancellation: You may cancel your subscription at any time through the Replyly app. Cancellation takes effect at the end of the current billing period.
• Taxes: You are responsible for all applicable taxes, including GST, VAT, or similar charges in your jurisdiction.

Replyly.io may offer credits that can be earned or purchased and applied toward Service features. The following terms govern credits:

• Credits have no cash value and are non-transferable between accounts
• Credits expire 12 months from the date of issuance unless otherwise specified
• Promotional credits (from referrals, ad rewards, or campaigns) may have specific expiry dates and conditions
• Credits cannot be refunded or exchanged for cash under any circumstances
• We reserve the right to adjust, expire, or revoke credits if abuse of the credit system is detected
• Referral credits are awarded only when the referred user successfully creates an account and meets the qualifying criteria specified in the referral program terms

All rights, title, and interest in and to the Service, including but not limited to software, designs, algorithms, logos, text, graphics, and other content (excluding user-provided content), are and will remain the exclusive property of Replyly.io.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your personal business use in accordance with these Terms. This license does not include:

• Selling, reselling, or commercially exploiting the Service
• Copying, modifying, or creating derivative works of the Service
• Using any data mining, robots, or similar data extraction tools on the Service
• Removing any proprietary notices or labels on the Service

Your content (message templates, automation configurations) remains your property. You grant us a limited license to process and execute your content solely as necessary to provide the Service.

In particular, we do not warrant or guarantee that:

• The Service will be uninterrupted, error-free, or secure at all times
• Any defects or errors in the Service will be corrected
• The Service will meet your specific business requirements or deliver specific results
• The Service will be available in all geographic regions
• Your Instagram account will not be restricted by Meta as a result of using third-party automation tools

You acknowledge that Instagram's terms of service regarding automation tools are subject to change, and that Meta may restrict or penalize accounts using automation. You use Replyly.io at your own risk.

Our total aggregate liability to you for any claims arising out of or related to these Terms or the Service shall not exceed the greater of: (a) the total amount you paid to Replyly.io in the 3 months immediately preceding the event giving rise to the claim, or (b) ₹500 INR (or equivalent in your local currency).

You agree to defend, indemnify, and hold harmless Replyly.io and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including legal fees) arising from:

• Your use of or inability to use the Service
• Your violation of these Terms
• Your violation of any applicable law, regulation, or third-party rights
• Your violation of Meta's Platform Terms or Instagram Community Guidelines
• Any content you send through automations configured via the Service

Either party may terminate the Service relationship at any time:

• By You: You may delete your account at any time through the Replyly app settings, or by sending a deletion request to support@replyly.io.
• By Us: We may suspend or terminate your account immediately, without prior notice or liability, if you violate these Terms, engage in prohibited conduct, or if required by law or Meta's policies.
• Effect of Termination: Upon termination, your right to use the Service ceases immediately. We will delete your personal data in accordance with our Privacy Policy and the Data Deletion Policy.
• Surviving Provisions: Sections 9 (Intellectual Property), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), and 14 (Governing Law) survive termination.

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

• Informal Resolution: Before filing any formal dispute, you agree to contact us at legal@replyly.io and attempt to resolve the dispute informally for a period of 30 days.
• Jurisdiction: If informal resolution fails, any disputes shall be subject to the exclusive jurisdiction of the courts located in India.
• Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class or representative action.

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by:

• Sending a push notification to your device
• Displaying a prominent notice within the Replyly app
• Updating the "Last Updated" date at the top of this page

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.
